Sponsor: The “Sponsor” of this Contest is IAMDREWSCOTT LLC (for the avoidance of doubt, YouTube is not a sponsor and shall have no liability whatsoever in connection with the Contest). Sponsor will award one (1) Grand Prize at the end of the prize period; with the Grand Prize winner being selected from all Eligible Entries received in accordance with these Official Rules by Sponsor between Sponsor’s initial announcement of the Contest via Drew Scott’s social media account(s) on September 4, 2022 and 11:59 PM PST on September 14, 2022. The Grand Prize winner will be selected by Drew Scott from all Eligible Entries on the basis of Drew Scott’s personal, subjective determination as to which entrant Sponsor would most like to provide a home makeover on the basis of the materials sent in connection with entering the Contest. The selection will occur at some time following the conclusion of such period.
Entry Process, Deadline, Eligible Entries: To be an “Eligible Entry,” entrants must (a) be eighteen (18) years of age or older as of the time of entering this promotion, (b) own, rent or lease their personal residence (single family home, duplex, tri-plex, townhome, or condominium unit) in California or submit on behalf of an individual who owns, rents or leases their personal residence in California (provided, if the entrant does not own their own personal residence, then within three (3) business days after the Grand Prize winner has been notified of their selection as set forth herein, such Grand Prize winner must obtain written permission from such owner in form and substance acceptable to Sponsor in Sponsor’s sole discretion to, inter alia, permit Sponsor to conduct the makeover that is the subject of the Contest and to permit Sponsor to use photos and video of the residence in connection with the Contest, including without limitation the materials submitted pursuant to (c) below and photographs and videos of the home makeover that is the subject of this Contest); and (c) submit an entry by email to firstname.lastname@example.org that includes (1) a few sentences about the entrant, their family and the residence space (including any details about what the entrant is looking for, what the entrant does not currently love and what the entrant’s dream home would look like, and the city of the entrant’s residence), and (2) a video walk-through of the space (photographs will also be accepted, but a video is preferred) (consider uploading toe Google Drive or Dropbox and sending along the link). Odds of Winning: The odds of winning the Grand Prize is determined by the number of eligible entries received by the Contest Deadline. Drew Scott will select the Grand Prize winner from all Eligible Entries on the basis of Drew Scott’s personal, subjective determination as to which entrant Sponsor would most like to provide a home makeover on the basis of the materials sent in connection with entering the Contest. Sponsor reserves the right in its sole discretion to suspend, modify, extend, or terminate this promotion without notice at any time. Entries that are lost, late, illegible, or incomplete for any reason will not be eligible to win any prize. In the event of a dispute concerning the identity of the person submitting an entry, the entry will be deemed to be submitted by the person in whose name the winning residence is titled (and if two or more individuals are listed as title owners to the residence, only one (1) Grand Prize will be awarded). This promotion may be conducted in conjunction with other Sponsor promotions.
Notification Process: The Grand Prize winner will be notified by e-mail within three (3) business days of the determination thereof by Sponsor. Sponsor will make nor more than two (2) attempts to notify the Grand Prize winner in this manner within three (3) business days of the drawing. If the Grand Prize winner does not respond after these two (2) attempts, Sponsor will send a third and final notification attempt via e-mail. If the Grand Prize winner does not contact Sponsor within two (2) business days following the date of such third (3rd) email, it will be deemed that the Grand Prize winner cannot be contacted and will thus result in disqualification of the Grand Prize winner, forfeiture of the Grand Prize, and selection of an alternate Grand Prize winner. An alternate Grand Prize winner will be selected within three (3) business days of a Grand Prize winner’s disqualification pursuant to the selection and notification process set out herein. Only a Grand Prize winner will receive notification a prize will be awarded. Upon contacting the Grand Prize winner, Sponsor will notify the individual of his or her having been selected as the Grand Prize winner, and Sponsor will set an appointment to meet the Grand Prize winner in person at the Grand Prize winner’s residence within fourteen (14) days of the date of contact. In the event such residence, in Drew Scott’s discretion, differs materially from what was presented in the entry materials, Sponsor reserves the right to disqualify the Grand Prize winner, in which event an alternate Grand Prize winner will be selected within three (3) business days of a Grand Prize winner’s disqualification pursuant to the selection and notification process set out herein.
Grand Prize: The Grand Prize winner will receive interior design services and furniture offered by Sponsor to the Grand Prize winner; provided, the Grand Prize winner shall not be required to accept any furniture or services over which the Grand Prize winner does not approve (for avoidance of doubt, the Sponsor shall not be required to provide any furniture or services over which the Sponsor does not approve). Installation must be provided by Sponsor’s personnel or designee only, unless otherwise approved by Sponsor. Grand Prize Winner is solely responsible for all expenses outside of the interior design services and furniture offered by Sponsor to the Grand Prize winner and approved by the Grand Prize winner. The Grand Prize winner’s residence be in suitable condition for installation (e.g., plumbing, mechanical, and electric systems in full compliance with local building codes and regulations, no existing water, mold, or structural damages are permitted). Any waterproofing, mold, asbestos, lead paint, or other remediation or repairs necessary for proper installation (as deemed by Sponsor or its designees at their sole discretion) must be performed at the Grand Prize winner’s expense prior to installation.
Deadline for Accepting Grand Prize: The Grand Prize winner must arrange for prize installation during a period of approximately one (1) week mutually approved by Sponsor and the Grand Prize Winner during October 2022, during which time all residents of the applicable residence must be away from the residence. Sponsor shall discuss in good faith with the Grand Prize winner the possibility of covering some or all of the costs associated with the alternate accommodations of such resident(s) during the aforementioned period, but shall not be obligated to do so. Installation of the Grand Prize is subject to the terms and conditions of Sponsor’s standard installation guidelines. Acceptance of the Grand Prize may require entering into a standard contract or purchase order for the goods and services to be provided, as required by state law.
Taxes: The Grand Prize winner will be solely responsible and liable for any and all federal, state, provincial, municipality, local and other taxes, fees and/or surcharges or taxes associated with the Grand Prize and for any other expenses and costs not specifically described herein. By entering the Contest, each entrant agrees that, if selected as the Grand Prize winner, such entrant will provide Sponsor with all necessary information for Sponsor to complete the appropriate tax forms and related documents (if any).
Direction to Seek Tax Advice: Grand Prize winner should consult an accountant or tax professional to determine any tax implications in accepting the Grand Prize. Winner can avoid all taxes on the Grand Prize if winner refuses to accept it.
Additional Qualifications / Release: To qualify to receive the Grand Prize, the Grand Prize winner must comply with all Official Rules instructions and requirements, including, (1) any necessary tax documents; (2) payment of applicable taxes; (3) completion of an affidavit of eligibility and liability/publicity release in form and substance satisfactory to Sponsor, and return it to Sponsor within five (5) business days of receipt thereof, as well as have met all of the eligibility requirements set forth within these Official Rules; otherwise the Grand Prize winner will be disqualified and the Grand Prize will be forfeited, and an alternative Grand Prize winner will be selected. Acceptance or use of the Grand Prize constitutes permission for Sponsor and its affiliates to use the recipient’s name and likeness, as well as photographs and videos of the residence, for advertising and promotional purposes without any additional compensation or payment, unless otherwise prohibited by law.
Transfers / Substitutions: No transfers, substitution in prizes, or cash will be allowed except by Sponsor, who may substitute a prize of equal or greater value in its sole and absolute discretion. Upon awarding of the Grand Prize, the Grand Prize winner assumes full ownership and responsibility for the Grand Prize. Liability for any applicable taxes, including all federal, state, and local taxes and/or other fees that may apply to the Grand Prize is the sole responsibility of the Grand Prize winner.
Limitation of Liability: By entering the Contest, to the fullest extent permitted by applicable law, each entrant on behalf of himself or herself and anyone who succeeds to entrant’s rights and responsibilities including without limitation entrant’s heirs, executors, administrators, personal representatives, successors, assigns, agents, and attorneys, and with respect to minors entrant’s parents and legal guardians (collectively the “Entrant Parties”) agrees to release and hold harmless Sponsor, Wayfair and YouTube, and each of their parent companies, subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers, directors and all other companies involved in the development or operation of the Contest and all other companies that provide any part of the prize, the successors and assigns of each of the foregoing (collectively, the “Released Parties”) from and against any and all claims and causes of action of any kind that the Entrant Parties ever had, now has or might in the future have arising out of or relating to the Contest, participation in the Contest, the provision, acceptance or use of any prize or any component thereof (including, without limitation, any damages in connection with the installation of the Grand Prize) or any use of the entrant’s name as permitted pursuant to these Official Rules, including without limitation any and all claims and causes of action that may occur, directly or indirectly, whether caused by negligence or not, from: (a) relating to any personal injury, death or property damage or loss sustained by any entrant or any other person; (b) based upon any allegation of violation of the right of privacy or publicity, misappropriation, defamation, or violation of any other personal or proprietary right; (c) based upon any allegation of a violation of the laws, rules or regulations relating to personal information or data security; (d) such entrant’s participation in the Contest and/or his/her acceptance, possession, use, or misuse of any prize or any portion thereof; (e) technical failures of any kind, including but not limited to the malfunction of any computer, cable, network, hardware, or software, or other mechanical equipment; (f) the unavailability or inaccessibility of any transmissions, telephone, or Internet service; or (g) unauthorized human intervention in any part of the entry process or the Contest. Each entrant on behalf of himself or herself and the Entrant Parties agrees not to assert any such claim or cause of action against any of the Released Parties. Each entrant on behalf of himself or herself and the Entrant Parties assumes the risk of, and all liability for, any injury, loss or damage caused, or claimed to be caused, by participation in this Contest, or the provision, acceptance or use of any prize or any component of any prize. The Released Parties are not responsible for, and will not have any liability in connection with, any typographical or other error in the printing of the offer, administration of the Contest or in the announcement of the prize. The Released Parties are not responsible for, and will not have any liability in connection with, late, lost, delayed, illegible, damaged, corrupted or incomplete entries, incorrect or inaccurate capture of, damage to, or loss of entries or entry information, or any other human, mechanical or technical error of any kind relating to communications or attempted communications with any entrant or Entrant Parties, the submission, collection, storage and/or processing of entries or the administration of the Contest.
Disputes: By entering the Contest, each entrant on behalf of himself or herself and the Entrant Parties agrees that, to the maximum extent permitted by applicable law, (a) any and all disputes, claims and causes of action arising out of or connected with the Contest, or the provision, acceptance and/or use of any prize or prize component, will be resolved individually, without resort to any form of class action (Note: Some jurisdictions do not allow restricting access to class actions. This provision will not apply to you if you live in such a jurisdiction); (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Contest, but in no event attorneys’ fees; and (c) under no circumstances will any entrant or Entrant Party be permitted to obtain any award for, and each entrant and Entrant Party hereby waives all rights to claim, punitive, special, incidental or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than for actual out-of-pocket expenses. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of the entrants, Entrant Parties, Sponsor, Wayfair and YouTube in connection with the Contest shall be governed by, and construed in accordance with, the laws of the State of California in the United States of America without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of the laws of any jurisdiction other than the State of California. Any legal proceedings arising out of this Contest or relating to these Official Rules shall be instituted only in the federal or state courts located in Los Angeles County in the State of California, waiving any right to trial by jury, and each entrant and Entrant Party consents to jurisdiction therein with respect to any legal proceedings or disputes of whatever nature arising under or relating to these rules or the Contest. In the event of any conflict between these Official Rules and any Contest information provided elsewhere (including but not limited in advertising or marketing materials), these Official Rules shall prevail.

Notices: (a) This Contest is void where prohibited. Entry into the Contest, where lawful, constitutes permission to use name, voice, photograph or likeness of Prize winner(s) for advertising or publicity purposes without additional compensation. (b) Grand Prize Winner will be obligated to sign and return an affidavit of eligibility and liability and release, and where lawful, a publicity release within five (5) business days of notification by Sponsor. (c) By participating in this Contest, all participants agree to be bound by these Official Rules and agree that the decision of the Sponsor will be valid and binding in all respects. Sponsor is not responsible for late, stolen, lost, postage due, or misdirected mail, or incomplete or illegible entries. (d) Sponsor may change, edit, amend or alter these Rules and any terms of this Contest at any time and for any reason. (e) Sponsor reserves the right in its sole discretion and without prior notice to terminate, modify, suspend, delay, or extend the Contest.
Miscellaneous Provisions: Participants may be asked to provide proof of identity, US residency and/or age. Entrants will be required to acknowledge that they have read and agree to the Official Rules and eligibility requirements. If entrants do not comply, they cannot participate in the Contest and are not eligible to win. To the extent the Official Rules are not compliant and consistent with the YouTube Terms of Service, the YouTube Terms of Service shall control.
